Terms of Service

1. Definitions

• “Site” means vexo.club and any subdomain operated by Vexocore.
• “Services” means the influencer-marketing, creator-discovery, campaign-operations, and brand-safety services offered by Vexocore under a separately executed MSA/SOW.
• “Vexocore,” “we,” “us,” “our” means Vexocore IT Services Private Limited, CIN U72900RJ2022PTC085082, with registered office in Rajasthan, India.
• “You,” “your” means the user of the Site, whether a brand representative, creator, journalist, or visitor.
• “Creator” means an individual or entity listed on the vexo.club roster.

2. Acceptance of Terms

By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy, Cookie Policy, and Acceptable Use Policy. If you do not agree, you must not use the Site.

3. Use of the Site

You may use the Site for any of the following lawful purposes:

• Evaluating Vexocore's services as a prospective client;
• Submitting a brief via the contact form;
• Reviewing published case studies and editorial content;
• Corresponding with Vexocore on a press, partnership, or media enquiry.

You agree not to:

• Use the Site in any manner that violates any applicable law (including the Information Technology Act, 2000 and the IT Rules, 2021);
• Interfere with or disrupt the Site, its servers, or networks connected to it;
• Attempt to gain unauthorised access to any part of the Site, including the admin panel at /admin;
• Scrape or systematically extract content from the Site for commercial republication without written consent;
• Impersonate Vexocore, our Creators, or any third party;
• Upload or transmit malicious code, viruses, or malware;
• Use the Site's forms or APIs to harass, defame, or spam any person.

4. Brief submissions

When you submit a brief via the contact form, you represent and warrant that:

• The information you provide is accurate and submitted in good faith;
• You have authority to act on behalf of the brand you purport to represent;
• You are not submitting competitively sensitive information belonging to a third party without authorisation.

Brief submissions are not contracts. A brief creates no obligation on Vexocore to accept, respond, or engage. Engagement is formed only upon execution of a counter-signed MSA/SOW.

We aim to respond to qualified brand briefs within 18 hours of receipt. This is a service commitment, not a contractual guarantee.

5. Creator roster

All Creators listed on vexo.club are independent professionals. Vexocore facilitates introductions and campaign operations under engaged SOWs; we do not employ Creators and we do not warrant their individual performance outside the scope of a signed SOW.

Public Creator profiles display publicly available information (name, handle, niche). Commercial rates and personal contact details are disclosed only to qualified brand briefs under an NDA.

6. Intellectual property

All content on the Site — including text, graphics, the vexo.club wordmark, the Vexocore logo, illustrations, photography, case-study copy, and code — is owned by or licensed to Vexocore and is protected by Indian and international copyright, trademark, and design laws.

You may:

• Quote brief excerpts of the Site for journalistic, academic, or review purposes with attribution to “vexo.club” and a working link;
• Share the Site's URLs on social media and in email.

You may not:

• Reproduce substantial portions of the Site for commercial use without written licence;
• Remove or alter any copyright, trademark, or proprietary notice;
• Use Vexocore trademarks in a way that implies endorsement without written permission.

7. Testimonials and case studies

Case studies and testimonials on vexo.club are published only after obtaining written consent from the named client, and always with numbers verified by the Vexocore team. Any attribution you believe to be inaccurate can be reported to [email protected] and we will review within 7 days.

8. Third-party links

The Site may contain links to third-party websites (e.g., Instagram, YouTube, LinkedIn, press outlets). We do not control those sites and are not responsible for their content, privacy practices, or availability. Your interactions with third-party sites are governed by their own terms.

9. Disclaimers

The Site is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Vexocore disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

Industry statistics, benchmarks, and opinions expressed on the Site are for informational purposes only and do not constitute professional advice. Before making a commercial decision, you should obtain independent advice.

10. Limitation of liability

To the fullest extent permitted by law, Vexocore, its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, revenue, data, goodwill, or business opportunity) arising from or related to your use of the Site.

Our total aggregate liability for any claim arising under or relating to these Terms (excluding liabilities arising from an engagement under a separate MSA/SOW) shall not exceed ₹10,000 (Indian Rupees Ten Thousand).

Nothing in these Terms limits liability that cannot be limited or excluded under applicable law, including liability for death, personal injury caused by negligence, fraud, or gross misconduct.

11. Indemnity

You agree to indemnify and hold harmless Vexocore, its directors, officers, employees, and agents from any claim, liability, loss, damage, cost, or expense (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your violation of any applicable law; (c) your infringement of any third-party right, including intellectual property, privacy, or publicity rights.

12. Modifications

We may modify these Terms at any time. Changes take effect upon posting on the Site. Continued use of the Site after posting constitutes acceptance. The “Last updated” date at the top reflects the most recent change.

13. Governing law; dispute resolution

These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms shall first be referred to good-faith negotiation between the parties. If unresolved within 30 days, the dispute shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator appointed by Vexocore, seated in Rajasthan, India, conducted in English.

Subject to the above arbitration clause, courts at Jaipur, Rajasthan shall have exclusive jurisdiction.
